1. Agreement to Terms

These Terms of Service (“Terms”) are a legal agreement between you and Coastline Charging Inc., doing business as rohm (“Company,” “we,” “our,” or “us”). These Terms govern your access to and use of the rohm website at rohmev.com, including the public marketplace, map, provider listings and links, rohm Terminal (“Terminal”), and any related services, APIs, or mobile applications we may offer now or in the future (collectively, the “Platform”). By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

In these Terms, a “Provider” means an independent mobile DC fast charging business listed on the rohm marketplace. Providers may also be referred to in the industry, or elsewhere on the Platform, as “operators” or “charge point operators”; for clarity, these Terms use “Provider” throughout when referring to the entity, and use “operate” or “operation” only as ordinary verbs and nouns.

2. Who These Terms Apply To

These Terms apply to everyone who uses the Platform. To make it easier to find what applies to you, this single agreement is organized around three audiences. There is no separate contract for any of them — agreeing to these Terms covers all of the following relationships:

  • Marketplace visitors and customers. If you browse rohmev.com, view provider listings, use the map, or use a chat assistant, the general sections and Customer and End-User Terms apply.
  • Providers. If you operate a mobile DC fast charging business listed on the marketplace, the general sections and Provider Terms apply. Being approved and listed as a Provider, or onboarding into any future Provider tools, constitutes acceptance of these Terms.
  • Terminal customers. If you join the Terminal waitlist or enroll a fleet, the general sections, Customer and End-User Terms, and Terminal apply.

3. Description of Platform

rohm is a marketplace for mobile DC fast charging. The Platform currently operates as a public website that displays a map of mobile DC fast charging Providers, their service areas, and direct links to Provider websites. The Platform is designed to make mobile charging Providers visible and accessible.

Future features may include a mobile application (which may be listed in app stores as “rohm EV”), APIs for fleet operators and enterprise clients to programmatically request or book charging services, and in-platform transaction processing. These Terms cover both current and future functionality. Sections that reference features not yet available (such as in-app sessions, payments, or API access) apply only when and if those features become active.

Role of rohm

rohm facilitates discovery and connections between users and Providers. Charging services are performed entirely by independent Providers. The Company does not itself provide mobile charging services and, except as expressly provided for rohm Terminal in Section 8, does not guarantee service availability, quality, safety, or pricing.

The Platform may also offer interactive chat assistants (the “Agents”). Agent responses are generated automatically, are provided for general informational purposes only, and may be incomplete or inaccurate. The Agents — including their underlying models, prompts, playbooks, and configuration — are proprietary to the Company.

4. Website and Marketplace Use

The rohm website and public marketplace are available to all visitors without requiring an account. By browsing the marketplace, viewing Provider listings, or using the map, you acknowledge and agree to the following:

  • Provider listings, service areas, and related information displayed on the marketplace are provided for informational purposes. While we review Provider information to the best of our ability, we do not certify, warrant, or guarantee the accuracy, completeness, or currency of any listing.
  • The marketplace may contain links to third-party Provider websites. When you click through to a Provider's site, you leave the rohm Platform. Any interactions, transactions, communications, or arrangements that occur on third-party websites are between you and that third party and are governed by that third party's own terms and policies, not these Terms.
  • rohm does not endorse, sponsor, or recommend any particular Provider. Inclusion on the marketplace does not constitute an endorsement of a Provider's services, equipment, safety practices, or business.
  • rohm is not a party to any transaction or agreement between you and a Provider that occurs outside the Platform, and assumes no liability for such transactions.

5. Third-Party Links and Provider Websites

The Platform contains links to websites operated by third-party mobile charging Providers. These links are provided as a convenience and for informational purposes only. We do not control, and are not responsible for, the content, privacy policies, practices, availability, or security of any third-party website.

Your use of a third-party website is at your own risk. We encourage you to review the terms of service and privacy policy of any third-party website you visit through the Platform. rohm disclaims all liability for any harm, loss, or damage arising from your use of or reliance on any third-party website or Provider.

6. Provider Terms

Provider Independence

Providers are independent operators, not employees, agents, or partners of the Company.

6.1 Listing Eligibility

To be listed on the rohm marketplace, Providers must be reviewed and approved by rohm. We manually review Providers to the best of our ability, but this review does not constitute certification, endorsement, or a guarantee of any kind regarding the Provider's services, equipment, safety, compliance, licensing, insurance, or business practices.

  • Providers must provide accurate information about their operation, service area, and equipment
  • Providers must be engaged in legitimate mobile DC fast charging operations
  • Providers must comply with all applicable laws, regulations, and safety standards
  • rohm reserves the right to approve, reject, or remove any Provider listing at its sole discretion

6.2 Provider Independence and Responsibility

Providers listed on rohm are solely responsible for:

  • The accuracy of information in their listing, including service area, equipment details, and contact information
  • Providing and maintaining their own charging equipment in safe, working condition
  • Ensuring equipment meets applicable safety standards and certifications
  • Maintaining appropriate insurance coverage for their operations
  • Obtaining any required business licenses, permits, or regulatory approvals
  • Complying with all applicable federal, state, and local laws and regulations
  • All interactions, communications, and transactions with customers, whether facilitated through the Platform or otherwise
  • Their own website, content, terms of service, and privacy practices

rohm does not inspect, certify, or guarantee the safety, legality, or quality of any Provider's equipment or services. rohm does not provide insurance coverage for Providers, their vehicles, their equipment, or their customers.

6.3 Provider Conduct

Providers listed on rohm agree not to:

  • Provide false or misleading information about themselves, their equipment, or their services
  • Misrepresent their affiliation with or endorsement by rohm
  • Use the rohm name, logo, or branding without written permission
  • Use faulty, unsafe, or non-compliant equipment
  • Discriminate against customers

6.4 Future In-Platform Services

If and when rohm introduces in-platform transactional features (such as booking, payment processing, or dispatch through a mobile app or API), additional Provider terms will apply to those services. These may include requirements around pricing, payment processing through Stripe, service standards, availability management, and cancellation policies. Providers will be notified of any additional terms before those features go live.

6.5 Providers Fulfilling Terminal Jobs

Providers who accept work routed through Terminal remain independent operators and are not employees, agents, or partners of the Company. Terminal jobs are subject to pre-negotiated rates and service standards, which will be communicated to participating Providers in advance. Acceptance of a Terminal job constitutes acceptance of the rates and standards in effect for that job.

7. Customer and End-User Terms

7.1 Current Website Use

As a visitor to the rohm website, you may browse Provider listings and click through to Provider websites. Your interactions with Providers and their websites are governed by Section 4 and Section 5 above.

7.2 Future Transactional Features

When in-platform transactional features become available (such as requesting charging sessions through a mobile app or API), the following terms will apply:

  • You agree to provide accurate vehicle and location information when requesting services
  • You must have a valid payment method on file to use transactional features
  • You will see estimated pricing before confirming any request
  • Payment is processed securely through Stripe and captured upon session completion
  • You are responsible for ensuring your vehicle is accessible and providing accurate connector information

8. rohm Terminal

Terminal is a separate, subscription-based product for enterprise and fleet customers that provides priority access to mobile DC fast charging from vetted local Providers at flat, pre-negotiated rates. This Section 8 applies only to Terminal customers and to Terminal-related activity on the Platform; the general sections of these Terms also apply. If any general provision of these Terms conflicts with this Section 8 as applied to Terminal, this Section 8 governs.

8.1 Waitlist and Early Access

Waitlist

Terminal is currently offered on a waitlist and early-access basis. Joining the waitlist or requesting a call does not guarantee access to Terminal. Features, capacity, availability, and any pricing described for Terminal are preliminary, may change, and do not constitute a binding offer.

8.2 Subscription and Billing

Terminal is offered on a per-vehicle subscription basis, with plans sized to your fleet. When Terminal becomes generally available:

  • Subscription billing begins only when you activate Terminal for your fleet. Joining the waitlist, creating an account, and adding vehicles do not, by themselves, start billing.
  • Subscriptions are processed through Stripe. By activating Terminal, you authorize recurring charges to your payment method on file in accordance with the plan you select.
  • Plans, pricing, and any minimums are described on the Terminal product page and at the point of activation, and may change with notice as provided in Section 17 (Changes to Terms).
  • Charging session fees are separate from the subscription. Session fees are passed through rohm to the Provider that performs the service, less only standard payment processing fees.

8.3 The Sub-One-Hour Guarantee

Terminal's “guaranteed sub-one-hour” delivery refers to the time from a confirmed, priority request through Terminal to a Provider arriving on site, within your plan's included priority deliveries and within markets where Terminal is active. The guarantee is subject to the following:

  • The request must be a priority request placed through Terminal, in a market where Terminal supply has been staged for your fleet, and within your plan's included priority deliveries for the day.
  • You must provide accurate location, vehicle, and access information, and the service location must be safely and legally accessible to the Provider.
  • The guarantee does not apply to events outside our or the Provider's reasonable control, including severe weather, road closures, regional emergencies, governmental action, labor disruption, network or grid outages, or other force majeure events.
  • Where the guarantee is not met for reasons other than the exclusions above, rohm may, at its sole discretion, apply a credit toward future subscription fees. Any credit policy in effect at the time will be described at activation and in your account.

Beyond the credit remedy described above, Terminal's service-level commitments do not create any additional warranty or liability, and the disclaimers and limitations of liability in Section 13 apply fully to Terminal.

8.4 Pass-Through Payments to Providers

Charging sessions performed under Terminal are billed at flat, locally pre-negotiated rates and paid out to the performing Provider, less only standard payment processing fees. rohm does not mark up session rates. rohm's revenue from Terminal comes from the subscription, which pays for orchestration, capacity staging, and supply readiness.

8.5 Provider Independence Under Terminal

Providers fulfilling Terminal jobs are independent operators, not employees, agents, or partners of the Company. Section 6 (Provider Terms) applies to those Providers, including Section 6.5. rohm manages Provider relationships, rates, and service standards at the platform level, but does not itself perform charging services.

8.6 Cancellation of Terminal

You may cancel your Terminal subscription at any time from your account. Cancellation stops future renewals; unless required by law, subscription fees already billed for the current period are non-refundable. Session-level cancellations are governed by Section 11 (Cancellation Policy).

9. User Accounts

Certain features of the Platform, including Terminal and future transactional features, require you to create an account. If you create an account, you must:

  • Be at least 18 years of age
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

10. Pricing and Fees

rohm uses different pricing models depending on how you access the Platform. The rohm public marketplace website is currently free to use for visitors and does not process transactions.

10.1 Public Marketplace (Future Transactions)

When in-platform transactional features become available on the public marketplace, charging sessions will be priced by individual Providers and may include:

  • Dispatch Fee: A flat fee set by the Provider
  • Per-kWh Rate: Cost per kilowatt-hour of energy delivered

Public marketplace pricing may be dynamic, varying with demand, order size, and Provider availability. Customers will see the total estimated cost before confirming a request.

10.2 Terminal

Terminal pricing is described in Section 8 (Terminal). Terminal uses a per-vehicle subscription combined with flat, pre-negotiated session rates that are paid out to Providers.

10.3 Platform Fee

rohm may charge a platform fee on public marketplace transactions when those features go live. The fee rate and structure will be communicated to Providers and customers before any transactional features go live. rohm does not mark up Terminal session rates; rohm's revenue from Terminal is the subscription described above.

10.4 Payment Processing

In-platform payments, including Terminal subscriptions and session pass-through payments, are processed through Stripe. Providers receiving payouts through the Platform must complete Stripe's onboarding process, including identity verification and bank account setup.

11. Cancellation Policy

This section applies to in-platform charging sessions when those features are available, including sessions placed through Terminal. Subscription-level cancellation for Terminal is governed by Section 8.6.

  • Either party may cancel a session before it begins at no charge
  • If cancelled during charging, partial charges may apply for energy already delivered
  • Frequent cancellations may result in account review or suspension

12. User Conduct

All users of the Platform agree not to:

  • Use the Platform for any unlawful purpose
  • Harass, abuse, or harm other users or Providers
  • Provide false or misleading information
  • Interfere with or disrupt the Platform
  • Scrape, crawl, or otherwise extract data from the Platform without permission
  • Attempt to circumvent any security or access controls
  • Reverse engineer, copy, or attempt to extract the underlying models, prompts, playbooks, or logic of any rohm Agent
  • Engage in fraud or deceptive practices

13. Disclaimers and Limitation of Liability

As Is

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, the Company does not warrant or guarantee:

  • The quality, safety, legality, or reliability of any Provider's services or equipment
  • The accuracy, completeness, or currency of Provider listings, service areas, or other information on the Platform
  • That any Provider has been vetted, certified, licensed, insured, or approved to any particular standard
  • Provider availability, response times, or performance in any area, except as expressly described for Terminal in Section 8 and subject to the exclusions stated there
  • The content, practices, or policies of any third-party Provider website linked from the Platform
  • That the Platform will be uninterrupted, error-free, or secure

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY PROVIDER OR THIRD PARTY ON OR LINKED FROM THE PLATFORM; (C) ANY SERVICES, EQUIPMENT, OR CONTENT OBTAINED FROM PROVIDERS; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR INFORMATION.

rohm manually reviews Providers to the best of its ability before listing them on the marketplace. However, this review is not a certification, endorsement, or guarantee of any kind. You acknowledge that you use the Platform and interact with Providers at your own risk.

Chat assistants (Agents). The Agents provide general information only and may be inaccurate or incomplete. Their responses are not professional, legal, financial, medical, or safety advice and are not a substitute for your own judgment, manufacturer instructions, or qualified guidance. You use the Agents at your own risk and remain solely responsible for any actions you take based on their output. The disclaimers and limitations of liability in this Section apply fully to the Agents.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Platform, your violation of these Terms, your interactions with any Provider or third-party website, or your violation of any rights of another.

Providers additionally agree to indemnify the Company for claims arising from their listing on the Platform, their provision of services (including any services performed in connection with rohm Terminal), their equipment, any injury or damage caused by their actions or omissions, and any disputes with customers or other third parties.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

User and Provider Disputes

rohm is not obligated to mediate, arbitrate, or resolve disputes between users and Providers. Any dispute arising from services provided by a Provider, transactions on a Provider's website, or interactions between users and Providers is between those parties. rohm may, but is not required to, assist in resolving such disputes at its sole discretion.

16. Account Termination and Listing Removal

We may suspend or terminate your account, or remove a Provider listing, at any time, with or without cause, with or without notice. Reasons may include, but are not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Abusive behavior toward other users or Providers
  • Inaccurate or misleading listing information
  • Safety concerns
  • Extended inactivity

You may request deactivation of your account or removal of your listing at any time by contacting us. For Providers with outstanding in-platform payments, payouts will be processed according to the standard schedule.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating this page, through the Platform, or by email where applicable. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
