1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and Coastline Charging Inc. ("Company," "we," "our," or "us"). These Terms govern your access to and use of rohm, including the mobile application (which may be listed in app stores as "rohm EV"), APIs, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

These Terms apply to all users, including customers seeking EV charging services and providers offering services through the Platform.

2. Description of Platform

rohm is a marketplace that connects electric vehicle owners ("Customers") with service providers ("Providers") who offer mobile EV charging. rohm also provides API access for fleet operators and enterprise clients to programmatically request charging services.

Charging services are performed by Providers, which may include Company affiliates. The Company facilitates connections and payment processing but does not guarantee service availability or quality.

3. User Accounts

To use rohm, you must:

  • Be at least 18 years of age
  • Create an account with accurate, complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Customer Terms

4.1 Requesting Services

When you request a charging session, your location is detected automatically. You agree to provide accurate vehicle information. You will see the estimated price before confirming your request.

4.2 Payment

You must have a valid payment method on file. When you confirm a request, a hold is placed on your payment method. Payment is captured when the charging session is completed. All payments are processed securely through Stripe.

4.3 Your Responsibilities

  • Ensure your vehicle is accessible to the Provider
  • Provide accurate vehicle and connector information
  • Be available or reachable during the scheduled session
  • Treat Providers with respect

5. Service Provider Terms

Providers are independent contractors, not employees of the Company. This does not create an employment, partnership, joint venture, or agency relationship.

5.1 Eligibility

To go live as a Provider on the Platform, you must:

  • Be at least 18 years of age
  • Own or have authorized access to mobile charging equipment
  • Have a reliable vehicle to transport charging equipment
  • Complete identity verification through Stripe
  • Be approved by rohm before going live (to help prevent fraud and abuse)

5.2 Independent Contractor Status

As an independent contractor:

  • You control when, where, and how you provide services
  • You may provide services for other platforms or businesses
  • You are responsible for your own taxes, including self-employment taxes
  • Stripe issues any necessary tax documentation (e.g., 1099 forms) directly to you
  • You are not entitled to employee benefits (health insurance, workers' compensation, unemployment insurance, etc.)

5.3 Equipment and Insurance

Providers are solely responsible for:

  • Providing and maintaining their own charging equipment in safe, working condition
  • Ensuring equipment meets applicable safety standards
  • Maintaining auto insurance meeting state minimum requirements
  • Obtaining any required business licenses or permits
  • Complying with all applicable laws and regulations

rohm does not inspect, certify, or guarantee the safety of Provider equipment, and does not provide insurance coverage for Providers, their vehicles, or their equipment.

5.4 Service Standards

When providing services through rohm, Providers agree to:

  • Arrive at the customer's location in a timely manner
  • Treat all customers with respect and professionalism
  • Provide services as described in their profile
  • Only charge for energy actually delivered
  • Handle customer vehicles with care
  • Maintain accurate availability status in the app

5.5 Prohibited Conduct for Providers

Providers agree not to:

  • Provide false information about themselves or their equipment
  • Charge customers outside the rohm platform
  • Solicit customers for services outside rohm
  • Discriminate against customers
  • Use faulty or unsafe equipment
  • Share their account with others

6. Pricing and Fees

6.1 Session Pricing

Charging sessions are priced by individual Providers and typically include:

  • Dispatch Fee: A flat fee set by the Provider to dispatch their unit to your location
  • Per-kWh Rate: Cost per kilowatt-hour of energy delivered

Customers will always see the total estimated cost before confirming a request.

6.2 Platform Fee

rohm charges a platform fee on each transaction, generally 15%. This rate may be adjusted to help balance supply and demand across the network.

6.3 Payment Processing

All payments are processed through Stripe. Providers must complete Stripe's onboarding process, including identity verification and bank account setup. Payouts are typically deposited within 2 business days after a session is completed.

7. Cancellation Policy

  • Either party may cancel a session before it begins at no charge
  • If cancelled during charging, partial charges may apply for energy already delivered
  • Frequent cancellations may result in account review or suspension

8. User Conduct

All users agree not to:

  • Use the Platform for any unlawful purpose
  • Harass, abuse, or harm other users
  • Provide false or misleading information
  • Interfere with or disrupt the Platform
  • Attempt to circumvent payment obligations
  • Engage in fraud or deceptive practices

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

We do not guarantee:

  • The quality, safety, or legality of Provider services or equipment
  • Provider availability in any area
  • The accuracy of Provider information or ratings
  • That the Platform will be uninterrupted or error-free

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Platform, violation of these Terms, or violation of any rights of another.

Providers additionally agree to indemnify the Company for claims arising from their provision of services, their equipment or vehicle, any injury or damage caused by their actions, and any disputes with customers.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

12. Account Termination

We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Abusive behavior toward other users
  • Excessive cancellations
  • Safety concerns or policy violations (for Providers)
  • Extended inactivity

You may deactivate your account at any time by contacting us. For Providers, outstanding payments will be processed according to the standard payout schedule.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the app or by email. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
